MatchUp is an online platform that allows users to discover, organize, and join amateur sports events in their local area. We provide a venue for users to connect with each other; we do not organize, supervise, sponsor, host, insure, or otherwise participate in any event listed on the Service. Events are created and managed entirely by users.
MatchUp does not verify the identity, qualifications, skill level, or background of any user, and does not inspect or approve any venue, location, or activity associated with an event.

You are solely responsible for your conduct, communications, and any consequences arising from your use of the Service.
Events are organized by users, not by MatchUp. By creating or joining an event, you acknowledge and agree that:
Sports and physical activities involve inherent and significant risks of physical injury, including but not limited to: sprains, fractures, concussions, cardiovascular events, paralysis, and in rare cases, death. Risks may arise from your own actions, the actions of other participants, the condition of the venue, equipment failure, or other circumstances.
By using the Service and by creating or joining any event, you voluntarily and knowingly assume all risks — known and unknown, foreseeable and unforeseeable — associated with your participation, including risks of personal injury, illness, death, property damage, theft, or financial loss.
To the fullest extent permitted by applicable law, you hereby release, waive, and forever discharge MatchUp, its founders, officers, employees, contractors, agents, and affiliates (collectively, the "Released Parties") from any and all claims, demands, actions, liabilities, costs, and expenses (including legal fees) of any kind arising out of or related to:
You acknowledge that you participate in events at your own risk and are responsible for: assessing your own physical fitness and skill level; bringing or arranging any necessary equipment; obtaining any necessary medical clearance; and maintaining your own health, accident, and liability insurance.
You agree not to sue, bring a claim against, or otherwise hold the Released Parties responsible for any injury, loss, or damage covered by this waiver. This waiver is binding upon you, your heirs, executors, administrators, and assigns.
Note: Some jurisdictions do not permit the exclusion of certain warranties or limitation of liability for gross negligence or willful misconduct. To the extent any provision of this Section is unenforceable in your jurisdiction, the remaining provisions remain in full effect, and the unenforceable provision shall be limited to the minimum extent necessary.
You retain ownership of any content you submit to the Service (event descriptions, photos, profile information, messages — collectively, "User Content"). By submitting User Content, you grant MatchUp a worldwide, royalty-free, non-exclusive, transferable license to host, store, reproduce, display, adapt, and distribute that content solely for the purpose of operating, improving, and promoting the Service.
You represent and warrant that you own or have all necessary rights to the User Content you submit, and that it does not infringe on any third party's rights or violate any law.
We may, but are not obligated to, review, moderate, or remove User Content that we believe violates these Terms or applicable law, in our sole discretion and without notice.
We may suspend or terminate your account, with or without notice, at any time and in our sole discretion, including if we believe you have violated these Terms, engaged in harmful behavior, or for any other reason we deem appropriate to protect the Service or its users.
You may delete your account at any time by contacting us at the email below. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 6, 9, 10, 11, and 13) will survive.
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.
We do not warrant that the Service will be error-free, secure, free of viruses, or available at all times. We do not warrant the accuracy of any event listing, user profile, or any other information on the Service.
To the maximum extent permitted by applicable law, in no event shall MatchUp or the Released Parties be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Where liability cannot be excluded by law, our aggregate liability to you for all claims relating to the Service is limited to the greater of (a) the total amount you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
You agree to indemnify, defend, and hold harmless MatchUp and the Released Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) your participation in or organization of any event; or (e) your interaction with any other user.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will provide notice (such as via the Service or by email). Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in the judicial district of Montréal, Quebec, Canada, and you consent to the jurisdiction of those courts.
If you are a consumer residing in Quebec, nothing in these Terms removes any non-waivable rights you may have under the Quebec Consumer Protection Act or other applicable consumer protection laws.
